Terms of Service

1. Agreement to Terms

By accessing or using the rlearn.ai platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). The Service is operated by R Saudi, a company registered in the Kingdom of Saudi Arabia. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

rlearn.ai is an AI-powered enterprise learning platform that provides adaptive tutoring, course authoring, spaced repetition, knowledge management, virtual classrooms, AI avatar video generation, 360-degree feedback, impact measurement, and related learning and development tools. The Service is designed for enterprise and professional use.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

4. Enterprise Accounts

If your access is provisioned through an enterprise subscription (including via SAML SSO or SCIM), your organisation's administrator may have the ability to manage your account, view your learning activity, and control access to features. Your use of the Service is also subject to any agreement between us and your organisation.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload content that infringes intellectual property rights, contains malware, or is defamatory, obscene, or harmful.
  • Attempt to gain unauthorised access to the Service, other accounts, or connected systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access the Service without prior written consent.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute access to the Service without authorisation.

6. Intellectual Property

6.1 Our Property

The Service, including its software, design, features, documentation, and branding, is owned by R Saudi and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

6.2 Your Content

You retain ownership of content you upload to the Service (documents, course materials, feedback responses). By uploading content, you grant us a limited, non-exclusive licence to process, store, and display that content as necessary to provide the Service. You represent that you have the right to upload such content.

6.3 AI-Generated Content

Content generated by the AI Tutor, course builder, or other AI features is provided for informational and educational purposes. While we strive for accuracy, AI-generated content may contain errors and should be reviewed before use in critical contexts. Ownership of AI-generated content created using your inputs is governed by your enterprise agreement.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the Saudi Personal Data Protection Law (PDPL). By using the Service, you acknowledge that you have read and understood our Privacy Policy.

8. NELC Compliance

Where the Service is used to generate xAPI statements for submission to the National E-Learning Centre (NELC), you acknowledge that learning activity data will be transmitted to NELC's Learning Record Store in accordance with NELC's technical specifications. You are responsible for ensuring that learner consent and National ID collection comply with applicable regulations.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by applicable law, R Saudi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms shall not exceed the fees paid by you (or your organisation) in the twelve months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated content will be error-free, complete, or suitable for any specific purpose.

12. Indemnification

You agree to indemnify and hold harmless R Saudi, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the platform or email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any dispute arising from or relating to these Terms or the Service shall be resolved through the competent courts in Riyadh, Kingdom of Saudi Arabia, unless an alternative dispute resolution mechanism is agreed upon in your enterprise agreement.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
